Acceptance of Terms

Welcome to Digital Shell. These Terms of Service ("Terms") govern your access to and use of the Digital Shell website, applications, and services (collectively, the "Service") operated by Digital Shell ("we," "our," or "us").

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

Description of Service

Digital Shell is a secure password manager that allows you to securely store and manage:

Passwords and login credentials
Secure notes
Credit card information
Files and documents

Our Service uses end-to-end encryption, meaning your data is encrypted on your device before being transmitted to our servers. We cannot access, read, or decrypt your vault contents.

The Service also includes features for secure sharing via expiring links, multi-device synchronization, and various subscription plans (Free, Standard, Pro, and Enterprise).

Account Registration

To use certain features of the Service, you must create an account. When registering, you agree to:

Provide accurate, current, and complete information
Maintain and promptly update your account information
Keep your authentication credentials secure and confidential
Notify us immediately of any unauthorized access to your account

We offer passwordless authentication methods including magic links, one-time passwords (OTP), and Google sign-in. You are responsible for all activities that occur under your account.

You must be at least 16 years old to create an account and use the Service.

User Responsibilities

Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

Use the Service to store, share, or transmit any illegal content
Attempt to gain unauthorized access to any part of the Service
Interfere with or disrupt the Service or servers
Use the Service to distribute malware, viruses, or harmful code
Reverse engineer, decompile, or disassemble any part of the Service
Use automated systems to access the Service without permission
Impersonate any person or entity
Violate any applicable laws or regulations

Security of Your Account

You are solely responsible for maintaining the security of your account credentials and encryption keys. Due to our security design, we cannot recover your data if you lose access to your encryption keys or recovery key.

We strongly recommend that you:

Store your recovery key in a safe, offline location
Enable device pairing for multi-device access
Regularly back up your important data

Subscription and Billing

Plans and Pricing

Digital Shell offers multiple subscription plans with different features and storage limits. Current plans include Free, Standard, Pro, and Enterprise tiers. Plan details and pricing are available on our pricing page.

Payment Processing

All payments are processed securely through a trusted third-party payment provider. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis until you cancel your subscription.

Billing Cycle

Subscriptions are billed in advance on a monthly or annual basis, depending on your selected plan. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.

Refunds

Subscription fees are generally non-refundable. However, if you are unsatisfied with the Service, please contact us within 14 days of your initial purchase, and we will work with you to resolve the issue or provide a refund at our discretion.

Plan Changes

You may upgrade or downgrade your subscription at any time. Upgrades take effect immediately, and you will be charged a prorated amount. Downgrades take effect at the end of your current billing period.

Intellectual Property

The Service and its original content, features, and functionality are owned by Digital Shell and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Our trademarks, logos, and service marks may not be used in connection with any product or service without our prior written consent.

You are granted a limited, non-exclusive, non-transferable license to access and use the Service for your personal or internal business purposes, subject to these Terms.

User Content

Ownership

You retain full ownership of all data, content, and materials you store in your vault ("User Content"). We do not claim any ownership rights over your User Content.

License to Provide Service

By using the Service, you grant us a limited license to store, process, and transmit your encrypted User Content solely for the purpose of providing the Service to you. We cannot access the unencrypted contents of your vault.

Responsibility for Content

You are solely responsible for your User Content and ensuring that it does not violate any laws or third-party rights. We do not monitor, review, or endorse User Content.

Digital Shell allows you to share vault items with others through secure, expiring links. When using sharing features:

You are responsible for the content you share and who you share it with
Shared links may include optional password protection and expiration settings
You should only share content that you have the right to share
We are not responsible for how recipients use shared content

You may revoke access to shared items at any time by deleting or modifying the share link.

Limitation of Liability

To the maximum extent permitted by applicable law, Digital Shell and its officers, directors, employees, agents, and affiliates shall not be liable for:

Any indirect, incidental, special, consequential, or punitive damages
Any loss of profits, data, use, goodwill, or other intangible losses
Any damages resulting from unauthorized access to or alteration of your data
Any damages resulting from your inability to access the Service
Any damages resulting from third-party conduct or content

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied, including but not limited to:

Implied warranties of merchantability
Fitness for a particular purpose
Non-infringement
Accuracy or completeness of content

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that defects will be corrected. You use the Service at your own risk.

While we implement industry-standard security measures, no method of electronic storage or transmission is 100% secure. We cannot guarantee absolute security of your data.

Termination

Termination by You

You may terminate your account at any time by contacting us or using the account deletion feature in your settings. Upon termination, your right to use the Service will immediately cease.

Termination by Us

We may suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice, including if we believe you have violated these Terms.

Effect of Termination

Upon termination:

Your license to use the Service will immediately terminate
We may delete your account and all associated data within 30 days
Any outstanding fees will become immediately due
Provisions that by their nature should survive will remain in effect

We recommend exporting your data before terminating your account, as we cannot recover deleted data.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Digital Shell is incorporated, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the applicable arbitration association, except where prohibited by law.

You agree to waive any right to participate in a class action lawsuit or class-wide arbitration against Digital Shell.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by:

Posting the updated Terms on this page
Updating the "Last Updated" date at the top
Sending you an email notification for significant changes

Your continued use of the Service after any changes constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Service and terminate your account.
